1. Acceptance

These Terms of Service ("Terms") govern your use of Predicts ("Predicts", the "Service"), a consumer messaging service operated by Loki Labs ("Loki", "we", "our"), a company established in Poland. Predicts lives at predicts.chat and appears as a contact in your Messages app. By texting Predicts or otherwise using the Service, you agree to these Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Predicts. The Service is not available in countries subject to U.S. trade sanctions.

3. Your Number and Access

Predicts has no username or password. It identifies you by the phone number or iMessage handle you text from. You are responsible for keeping your device and your Messages app secure, since anyone with access to them can text Predicts. If you believe someone else is using your number with Predicts, contact us at loki@predicts.chat.

4. Acceptable Use

You agree not to use Predicts to:

Send unsolicited bulk messages, "spam", or phishing, or to violate any applicable communications or privacy law
Impersonate another person, or misrepresent your affiliation with any person or organization
Send content that is harassing, threatening, sexually explicit involving minors, or that promotes violence or illegal activity
Probe, scan, or test the vulnerability of the Service without prior written authorization
Reverse engineer, resell, or redistribute the Service other than as expressly permitted
Build a competing product using non-public technical information about the Service

We may suspend or terminate access for violations of this section without prior notice if we believe immediate action is required to protect users or the Service.

5. Market Data — Not Financial Advice

Predicts surfaces public prediction-market data — such as implied probabilities, trading volume, and close times — and generates analysis and summaries about it. All of this is provided for information only. It is not financial, investment, legal, or tax advice, and nothing Predicts tells you is a recommendation to buy, sell, or trade anything.

Market data and AI-generated analysis may be delayed, incomplete, or wrong. Prediction markets are speculative and you can lose money on them. Always verify against the underlying market and make your own decisions. Predicts does not place, execute, or broker trades; it holds no funds and gives no custody of any assets. Any "Auto Trade" capability is not yet available and, when offered, will be governed by additional terms you must separately accept.

6. Fees

Predicts is free to start — every number begins with a one-time grant of free credits. Paid plans (Starter, Plus, Pro) and one-time credit top-ups are billed through Stripe at the prices shown in the Service; you authorize us to charge your payment method for what you select, including any applicable taxes. Credits do not expire; subscriptions renew monthly until cancelled. Fees are non-refundable except where required by law.

7. Your Messages

The messages and other materials you send to Predicts ("Your Content") remain yours. You grant Loki a worldwide, royalty-free license to host, store, transmit, and process Your Content solely to provide and improve the Service. We do not use Your Content to train third-party AI models.

You represent that you have all rights necessary to submit Your Content and that it does not infringe any third-party rights.

8. Third-Party Services

Predicts relies on third parties including Cloudflare, Apple (iMessage), Stripe, PostHog (product analytics), prediction-market data venues (such as Polymarket), and AI model providers (such as Anthropic). Your use of those services through Predicts is subject to their terms. We are not responsible for the availability, accuracy, or actions of any third-party service.

9. Service Availability

We aim to keep Predicts available, but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance and third-party outages may affect availability.

10. Intellectual Property

Loki retains all rights in and to Predicts, including software, documentation, trademarks, and brand assets. Nothing in these Terms grants you any license to our intellectual property except the limited right to use the Service as provided.

11. Disclaimers

Predicts is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs and market data may be incorrect, incomplete, or out of date. You are responsible for reviewing what Predicts tells you before acting on it.

12. Limitation of Liability

To the maximum extent permitted by law, Loki and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or trading losses, arising out of or relating to the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) US$100.

13. Indemnification

You will defend, indemnify, and hold harmless Loki from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third-party right.

14. Termination

You may stop using Predicts at any time. To wind down, text Predicts "stop" to pause messages, or message loki@predicts.chat to close out and delete your data. We may suspend or terminate your access for material breach of these Terms or as required by law. Upon termination, your right to use the Service ends; sections that by their nature should survive (including sections 5, 7, and 10 through 13, and 16) will survive.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by text or on predicts.chat at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Poland, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively by the courts of competent jurisdiction in Poland, and you consent to personal jurisdiction there.

Nothing in this section limits any non-waivable rights that consumers residing in the EU, UK, or other jurisdictions may have under applicable mandatory law, including the right to bring proceedings in the courts of their country of residence.
